1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of our wine tasting reservation platform (the "Service") operated by WineRSVP, Inc. ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you may not access the Service.
THESE TERMS CONTAIN AN ARBITRATION CLAUSE AND CLASS ACTION WAIVER. BY AGREEING TO THESE TERMS, YOU AGREE TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION.
2. Description of Service
Our Service provides a platform for users to discover, book, and manage wine tasting reservations at participating wineries, vineyards, and wine bars ("Partner Venues"). We facilitate the connection between users and Partner Venues but are not responsible for the actual wine tasting experiences provided by these venues.
3. User Accounts and Eligibility
3.1 Age Requirement
You must be at least 21 years old (or the legal drinking age in your jurisdiction) to use our Service. By using our Service, you represent and warrant that you meet this age requirement.
3.2 Account Registration
To make reservations, you may need to create an account. You agree to provide accurate, complete, and current information during registration and to update your information as necessary. You are responsible for maintaining the confidentiality of your account credentials.
3.3 Account Security
You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.
4. Reservation Services
4.1 Booking Process
Our Service allows you to search for and book wine tasting experiences at Partner Venues. When you make a reservation through our platform, we facilitate the booking with the Partner Venue on your behalf.
4.2 Reservation Confirmation
Upon successful booking, you will receive a confirmation email with your reservation details. This confirmation serves as your booking reference and should be presented at the Partner Venue.
4.3 Availability and Pricing
Availability and pricing information is provided by Partner Venues and may change without notice. We strive to keep this information current but cannot guarantee its accuracy at all times.
5. Cancellation and No-Show Policy
5.1 Cancellation Requirements
You must cancel reservations at least 24 hours in advance. Cancellations can be made through your account dashboard or by contacting customer support. Some Partner Venues may have specific cancellation policies that will be disclosed at the time of booking.
5.2 No-Show Policy
If you fail to appear for your reservation without proper cancellation, you may be charged a no-show fee. Repeated no-shows may result in account suspension or termination.
5.3 Partner Venue Cancellations
Partner Venues may occasionally need to cancel or modify reservations due to unforeseen circumstances. We will notify you promptly and assist in rebooking or processing refunds as appropriate.
6. Payment Terms
6.1 Payment Processing
Some reservations may require payment at the time of booking, while others may be paid directly at the Partner Venue. Payment options and requirements will be clearly displayed during the booking process.
6.2 Service Fees
We may charge service fees for certain bookings. These fees will be clearly disclosed before you complete your reservation.
6.3 Refunds
Refund policies vary by Partner Venue and will be disclosed at the time of booking. We will process eligible refunds according to the applicable policy and our refund procedures.
7. User Conduct and Prohibited Activities
You agree not to:
- Use the Service for any unlawful purpose or in violation of these Terms
- Make false or fraudulent reservations
- Resell or transfer reservations without authorization
- Interfere with or disrupt the Service or its servers
- Attempt to gain unauthorized access to any part of the Service
- Use automated systems to access the Service without permission
- Harass, abuse, or harm other users or Partner Venues
- Post or transmit inappropriate, offensive, or illegal content
- Violate any applicable laws or regulations
8. Intellectual Property Rights
The Service and its original content, features, and functionality are owned by us and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of our content without our express written permission.
9. User Content and Reviews
9.1 User-Generated Content
You may submit reviews, photos, and other content through our Service. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content in connection with our Service.
9.2 Content Standards
All user content must be accurate, respectful, and comply with our community guidelines. We reserve the right to remove content that violates these standards.

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
11. Disclaimers and Limitation of Liability
11.1 Service Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11.2 Partner Venue Disclaimer
We are not responsible for the quality, safety, or legality of wine tasting experiences provided by Partner Venues. Your interactions with Partner Venues are solely between you and the venue.
11.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.
12. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.
13. Dispute Resolution and Arbitration
13.1 Mandatory Arbitration
Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court.
13.2 Class Action Waiver
YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION against us.
13.3 Exceptions
This arbitration provision does not apply to claims that may be brought in small claims court or disputes related to intellectual property rights.
14. Termination
We may terminate or suspend your account and access to the Service at our sole discretion, without prior notice, for any reason including breach of these Terms. Upon termination, your right to use the Service will cease immediately.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions.
16. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
17. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
